'Upstream Securities. A Problem to Recapitulate the Statutory Asset Protection of Stock Companies' Whether upstream securities are admissible under German Corporate Law has so far only been discussed from the perspective of capital maintenance. However, capital maintenance alone does not offer an adequate solution to protect the company providing a security to its major shareholder from being exploited to the disadvantage of minor shareholders and credi-tors. This thesis examines the extended asset protection granted by the law of related com-panies and its impact on upstream securities.

Maximilian Hirschfeld studierte Rechtswissenschaften an der Universität Passau, wo er 2019 die Erste Juristische Prüfung ablegte. Anschließend war er promotionsbegleitend als wissenschaftlicher Mitarbeiter am Lehrstuhl für Bürgerliches Recht, Handels- und Wirtschaftsrecht von Prof. Dr. Holger Altmeppen tätig. Daran anknüpfend arbeitete er in einer Münchener Wirtschaftskanzlei im Bereich Corporate / M&A. Es folgte im Februar 2021 die Promotion durch die Juristische Fakultät der Universität Passau. Seit April 2021 ist er Rechtsreferendar am Oberlandesgericht München.
